"SAN FRANCISCO (MarketWatch) -- Procter & Gamble Co. has reached an agreement to buy Gillette Co. in a stock-swap deal valued at about $54 billion, according to the Wall Street Journal.
A story in the online edition of the Journal Thursday evening citing people familiar with the matter reported P&G (PG: news, chart, profile) is offering 0.975 P&G shares for each share of Gillette (G: news, chart, profile) , valuing the stock at $53.94, based on P&G's closing price of $55.32 Thursday.
The offer is 17.6 percent above Gillette's closing price of $45.85. Gillette shares, which hit a 52-week high Thursday of $45.90, have risen from about $40 in the fall. P&G stock has risen 32 percent during the past two years, giving the company strong currency to engineer a major acquisition. "

Time Warner and Comcast Corp. intend to make a joint bid for as much as $15 billion on Monday to buy the assets of bankrupt cable operator Adelphia Communications, according to reports in the Los Angeles Times and The Philadelphia Inquirer on Saturday. If successful, the deal would add Adelphia's 5.3 million cable subscribers to Time Warner Cable's 10.9 million subscribers and Comcast's 21.5 million subscribers, the reports said. It would also help Comcast unwind a 21 percent ownership it has in Time Warner Cable. Monday is the deadline for bids for Adelphia, which has said it hopes to act on bids by the end of the first quarter, the reports said.
SBC to buy AT&T for $16B
WASHINGTON (MarketWatch) -- The boards of SBC and its former parent AT&T Corp. were meeting Sunday to vote on a $16 billion merger deal that could spell the end of one of the most storied names in American business history, according to published reports.
A story in the online edition of the Wall Street Journal, citing people familiar with the matter, reported the proposed deal calls for AT&T shareholders to receive SBC shares valued at about $15 billion, as well as another $1 billion in the form of a special dividend. SBC Chairman and Chief Executive Edward Whitacre Jr. would remain in his current positions, while AT&T Chief Executive David Dorman would become president, the Journal reported. AT&T would get three seats on the new company's board, including one for Dorman.

NEW YORK (MarketWatch) - Federated Department Stores and May Department Stores confirmed plans to merge early Monday, announcing a deal for Federated to acquire May for $11 billion in cash and stock.
SAN FRANCISCO (MarketWatch) -- Yellow Roadway Corp. will buy fellow trucking company USF Corp. in a cash-and-stock deal for $1.47 billion, both companies said Sunday.
Capital One Financial is reportedly nearing a $5.35 billion deal to acquire Hibernia Corp., according to a published report Sunday.

"Forbes ranks P&G No. 1 in its household and personal furnishings segment, with $5.81 billion profit in 2004, and $53.86 billion in assets.
Gillette ranks No. 5 and has a market capitalization of $45.52 billion.
Earlier in the day, P&G posted a 12 percent rise in second-quarter earnings, to $2.04 billion, or 74 cents a share, from $1.82 billion, or 65 cents, in last year's period. The consensus outlook called for earnings of 72 cents a share.
For fiscal 2005, P&G said it now expects to earn $2.61 to $2.64 a share, an increase of 3 cents from its previous range and ahead of the consensus projection for earnings of $2.60 a share compiled by Thomson First Call. "
